Q.Must I hold LLC meetings?
A.Generally not, but it is wise to.
Although a corporation's failure to hold regularly scheduled shareholder and director meetings may subject the corporation to alter ego liability (piercing of the corporate veil), this is not generally the case for LLCs in many states. Nevertheless, it is always wise to conduct meetings with your members to ensure the LLC is in agreement in all its endeavors. Moreover, should the law change as it has over the recent past with respect to LLC’s, holding regular meetings will prevent imposition of alter-ego liability in the future.
