Q.Are all the homeowners entitled to attend board meetings?

A.Although the homeowners cannot call a board meeting, they are entitled to attend all board meetings, but not executive sessions. The board is permitted to hold an executive session only to discuss litigation, contracts with non-owners, owner discipline (in which case the subject owner may attend), and personnel matters.

If only part of the meeting will be an executive session, homeowners are entitled to attend the remainder of the board meeting. If the entire meeting will be an executive session, the homeowners are not entitled to attend but are still entitled to advance notice.

Any gathering (including a telephone conference call) where a majority of the directors are to discuss any item of business scheduled to be heard by the Board is considered a Board meeting, and triggers the requirement that the homeowners be provided notice and granted attendance rights.
